1. INTRODUCTION

These Terms of Service ("Terms") govern your access to and use of the Springlink platform and related services ("Services"). By using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

Springlink OÜ ("Springlink," "we," "our," or "us") offers digital tools and marketing automation services for merchants, particularly small cafes, through its website, hosted platforms, and integrations.

2. DEFINITIONS

Merchant: A business entity using the Springlink Services.
Platform: Springlink’s software and systems including web interfaces, APIs, and integrations.
User: A person accessing the Platform, including customers of the Merchant.
Content: Any data, text, media, or other materials submitted or made available via the Platform.

3. ELIGIBILITY & ACCOUNT ACCESS

3.1 You must be a legally registered business and at least 18 years of age to use the Services on behalf of your organization.

3.2 You are responsible for maintaining the confidentiality of any login credentials and are liable for all activities under your account.

3.3 Springlink may suspend or terminate access if these Terms are violated.

4. USE OF SERVICES

4.1 Subject to these Terms, Springlink grants a non-exclusive, non-transferable, revocable license to access and use the Platform.

4.2 You agree not to:

Modify, reverse-engineer, or create derivative works based on the Platform
Circumvent access or usage restrictions
Use the Services for unlawful purposes

4.3 Springlink may update, modify, or discontinue the Platform at its discretion.

5. MERCHANT RESPONSIBILITIES

5.1 Merchants agree to:

Provide accurate and up-to-date information
Ensure secure technical environments for integration
Comply with applicable laws, including GDPR

5.2 You are responsible for your customers’ data and ensuring appropriate legal bases for any data processing.

6. DATA PRIVACY AND SECURITY

6.1 Springlink processes customer data on behalf of Merchants. The Merchant is the Data Controller; Springlink is the Data Processor.

6.2 All data processing shall be governed by the applicable Data Protection Agreement (DPA) and GDPR.

6.3 Springlink takes commercially reasonable measures to secure data but is not liable for breaches outside its control.

7. INTELLECTUAL PROPERTY

7.1 All intellectual property rights in the Platform, its design, content, and associated materials are owned by Springlink or its licensors.

7.2 Merchants do not acquire any ownership of the Platform or any part of it.

7.3 Suggestions, feedback, or insights provided by Merchants may be used by Springlink without obligation.

8. THIRD-PARTY SERVICES

8.1 The Platform may integrate with third-party tools (e.g., Resend, analytics, POS systems).

8.2 Springlink is not liable for the acts, omissions, or service quality of these third-party providers.

9. LIMITATION OF LIABILITY

9.1 The Services are provided "as is" and "as available" without warranties of any kind.

9.2 Springlink disclaims all implied warranties, including fitness for a particular purpose and non-infringement.

9.3 Springlink is not liable for indirect, incidental, or consequential damages, or for disruptions outside its control (e.g., internet outages).

9.4 Springlink's total liability is limited to the fees paid by the Merchant within the last 12 months.

10. MODIFICATIONS TO TERMS

10.1 Springlink may modify these Terms from time to time. Any changes will be posted on our website with an updated effective date.

10.2 Continued use of the Platform after modifications constitutes acceptance of the new Terms.

11. TERMINATION

11.1 Either party may terminate Services with written notice. Specific pilot program termination procedures are outlined in the pilot program's End User License Agreement (EULA).

11.2 Upon termination:

Access to the Platform will be revoked
Data may be deleted after a grace period unless required for legal or operational reasons

12. GOVERNING LAW

These Terms shall be governed by the laws of the Republic of Estonia. Any disputes shall be resolved in the courts of Tallinn, Estonia.
